Terms of Service

1. Acceptance
By accessing or using any ipOptic service (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter contracts in your jurisdiction. The Service is not directed at children under 13.
3. API access and API keys
Upon registration we issue you one or more API keys. You are responsible for all activity under your keys. Keys are non-transferable. You must not share, publish, or embed keys in publicly accessible code. Report compromised keys immediately at security@ipoptic.io.
4. Acceptable use
Use of the Service is subject to our Acceptable Use Policy, incorporated by reference. In summary, you may not use the Service to:
- Build products or services that facilitate illegal surveillance, stalking, or harassment.
- Discriminate against individuals on the basis of protected characteristics using IP signals.
- Resell raw API data to third parties without a written data-distribution agreement.
- Reverse-engineer or attempt to extract the underlying database through systematic querying.
- Circumvent rate limits or access controls.
5. Plans, billing, and cancellation
Paid plans are billed in advance on a monthly or annual cycle. All fees are non-refundable except where required by applicable law or explicitly stated in your order. You may cancel at any time; access continues until the end of the paid period. We reserve the right to modify pricing with 30 days' notice.
6. Service levels and availability
We target 99.95% monthly uptime for the API, measured at the edge. Scheduled maintenance windows are announced via our status page. Uptime guarantees, if any, are set out in a separate Service Level Agreement (“SLA”) available on enterprise plans. Without an SLA, the Service is provided “as is” with respect to availability.
7. Intellectual property
ipOptic retains all rights in the Service, including the compiled database, scoring models, and software. You receive a limited, non-exclusive, non-sublicensable licence to access and use the Service outputs for your own internal business purposes or to build products on top of the API, subject to these Terms.
8. Confidentiality
Each party agrees to keep confidential the other party's non-public technical and business information. This obligation survives termination for 3 years. API response data is not considered our confidential information.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IP INTELLIGENCE DATA IS PROBABILISTIC; WE DO NOT WARRANT THAT ANY RESULT IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY SPECIFIC DECISION.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPOPTIC'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
11. Governing law and disputes
These Terms are governed by the laws of [JURISDICTION — TO BE COMPLETED BY COUNSEL]. Disputes shall first be addressed through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration under [ARBITRATION RULES — TO BE COMPLETED BY COUNSEL], with proceedings in [CITY]. Class actions are waived to the extent permitted by law.
12. Changes to these Terms
We will notify you of material changes at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
